JUNIOR TO MID-LEVEL ENTERTAINMENT ATTORNEY
Full Time

Klaris has an opening for a junior to mid-level entertainment attorney.

We are a boutique media, entertainment, technology, and intellectual property law firm that guides our clients through a changing IP and digital environment as a strategic partner, advisor, and legal resource. We support clients at every stage of business development, from advising in a business affairs capacity and negotiating deals, to clearing content for release, managing disputes and defending claims. Clients rely on the firm’s ability to negotiate and paper deals efficiently, close negotiations with momentum and manage them in a manner that incentivizes all parties and sets a productive tone for the creative relationship to follow. Although associates are encouraged to contribute to the full breadth of the firm’s practice, this position primarily will support the firm’s production business affairs & transactional work across documentary, podcast, film and TV clients.

The ideal candidate will have:

  • 2+years of transactional experience at a law firm;
  • Active license to practice law in New York and/or California;
  • An approach to their work that reflects an understanding of the attorney’s responsibility, a commitment to being an integral and active member of the firm and an interest in personal and business development;
  • Demonstrable interest in the entertainment industry and related news and developments;
  • Business & legal affairs experience related to content development, production, distribution and financing;
  • Experience negotiating and drafting documentary/film/tv/podcast production agreements (e.g. option/purchase, first look, development, shopping, above-the-line, co-production, production services and host agreements and releases), financing and distribution agreements (including podcast ad-sales agreements);
  • Familiarity with SAG/AFTRA, WGA, and DGA guild agreements; and
  • The ability to manage multiple high-volume clients simultaneously and help clients track and maintain deal flow.

Compensation:  Estimated base salary range of $143,000-$170,000, plus benefits, 401(k) contribution, client origination participation and discretionary bonus.

MID-LEVEL ASSOCIATE: MEDIA, MARKETING AND TECHNOLOGY TRANSACTIONAL

Klaris has an opening for a mid-level associate to join the firm’s transactional practice.

We are a boutique media, entertainment, technology, and intellectual property law firm that guides our clients through a changing IP and digital environment as a strategic partner, advisor, and legal resource. The firm’s practice extends across traditional and new media, entertainment, podcast and film production, theater, art, technology, and web3 engagements, and supports clients at every stage of business development, from negotiating deals and clearing content for broadcast or publication, to managing disputes and defending claims.  Clients rely on the firm’s ability to augment in-house legal resources and respond nimbly to urgent matters, as facilitated by hands-on, day-to day client interaction and close collaboration among the lawyers.  

 

Role description:

Although associates of the firm are encouraged to contribute to the full breadth of the firm’s practice, this position primarily will support the firm’s commercial transactional work. In this role, the associate will have the opportunity to refine their skills as legal counselor and advocate by handling a wide variety of sophisticated and engaging media and marketing transactions.

 

Responsibilities:  

The associate will be responsible for structuring, drafting, negotiating and analyzing agreements primarily on behalf of media and sports/entertainment companies.  They also will counsel clients on compliance with various advertising, promotions and consumer protection laws.  Representative matters include the following:

  • Advertising technology relationships, including with ad servers, SSPs, ad exchanges and other players in the digital advertising ecosystem;
  • Ad sales vendor relationships, including sales enablement, audience research, and campaign/ad impact measurement services;
  • Media distribution partner relationships;
  • Marketing services agreements for social media programming, events and other activations, including influencer engagements; 
  • Brand integration and custom content programs;
  • Agency or advertiser insertion orders and addenda to IAB standard terms for media ad buys;
  • Sponsorship agreements, including for live events, podcasts and other media;
  • Editorial content procurement, including serial rights, book embargo, author, artist, licensed content and stock house agreements;
  • Content production agreements, including development, co-production, production services, host and talent agreements; 
  • Media brand and content licensing;
  • IT and tech support services, including SaaS, PaaS and IaaS agreements;
  • Counseling on laws and regulatory guidance governing influencers/social media, native advertising, sweepstakes and contests and cause-related marketing; and
  • Advising on the use of new technologies, including GAI products.

 

Basic qualifications:

  • 3+years of transactional experience at a law firm and/or in-house
  • Active license to practice law in New York and/or California

 

The ideal candidate will have:

  • Demonstrable interest in the media and entertainment businesses;
  • A background in one or more of the following: advertising technology transactions, technology transactions, and advertising and promotion laws (contests and sweepstakes, social media marketing, native advertising), with working knowledge of data protection laws a plus;
  • The propensity to be a self-starter, with strong interpersonal skills;
  • The ability to translate complicated legal principles into clear, concise English;
  • A talent for streamlining negotiations, and a keen desire to find common ground while protecting the client’s interests;
  • The aptitude to provide practical and creative advice;
  • A passion for the law, an inquisitive mind, and a desire for excellence;
  • Enthusiasm for juggling many matters simultaneously; and
  • Interest in joining a boutique law firm with a strong culture of collegiality, autonomy and focus on client services.

 

Compensation:  Estimated base salary range of $160,000-$200,000, plus standard benefits, 401(k), and discretionary bonus.
